Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) form a legally binding agreement between FineFix, Inc. (“FineFix,” “FineFix Build AI,” “we,” “us,” or “our”) and you (“you” or “user”) governing your access to and use of:

  • Our websites, including https://finefix.ai (the “Site”);
  • FineFix Build AI and any related products, services, and applications (collectively, the “Services”); and
  • Our SMS, MMS, RCS, and other messaging programs (the “Messaging Program”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and Accounts

You may use the Services only if you are legally capable of entering into a binding contract in your jurisdiction and are at least 18 years old.

If you create an account, you must provide accurate, current information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms and our policies (including any acceptable use or anti-spam policies).

You agree not to:

  • Use the Services in violation of any applicable law, regulation, or industry guideline (including US TCPA, Canada's CASL, and carrier/CTIA requirements where applicable)
  • Infringe or violate the rights of others, including privacy and intellectual property rights
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Services or related systems
  • Interfere with or disrupt the operation or security of the Services

We may suspend or terminate your access to the Services if we believe you are violating these Terms, applicable law, or carrier policies.

4. Third-Party Services

The Services may integrate with third-party services and providers (for example, cloud platforms, communications providers, and analytics tools). We do not control and are not responsible for third-party services, which are governed by their own terms and privacy policies.

5. Fees and Payment

6. Intellectual Property

We and our licensors own all rights, title, and interest in and to the Services, including all software, documentation, and content (excluding User Content). Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, or lease any part of the Services.

You retain ownership of any data and content you submit to the Services (“User Content”). You grant us a non-exclusive, worldwide, royalty-free license to use, host, reproduce, modify, and display your User Content as reasonably necessary to provide and improve the Services and the Messaging Program.

7. FineFix Build AI Messaging Program (SMS/MMS/RCS)

This section governs your participation in the FineFix Build AI Messaging Program (the “Messaging Program”), including SMS, MMS, and RCS messages sent by us or on behalf of our customers.

7.1 Program Name and Description

Program name: FineFix Build AI Messaging

Program description: FineFix Build AI Messaging provides communications related to construction projects and services, which may include (as applicable):

  • Job and project status updates
  • Appointment and schedule reminders
  • Site notifications and alerts
  • Account, billing, or support messages
  • Occasional marketing or promotional messages where permitted and with appropriate consent

Messages may be sent to recipients in the United States and Canada.

7.2 Opt-In and Consent

You may opt in to the Messaging Program by methods such as:

  • Checking an opt-in box on a web form and submitting your mobile number
  • Texting a keyword (for example, “JOIN”) to a designated number or short code
  • Providing written or digital consent through contracts or agreements
  • Other documented methods that clearly capture your consent

By opting in, you confirm that you are the authorized user of the mobile number you provide and that you consent to receive messages at that number.

For recipients in Canada, commercial electronic messages (including SMS/MMS/RCS) are subject to Canada's Anti-Spam Legislation (CASL), which generally requires valid consent, clear identification of the sender, and an unsubscribe mechanism in each message. We design our opt-in and messaging flows to meet these requirements for Canadian recipients.

7.3 Message Frequency

Message frequency varies based on your relationship with FineFix or our customer and how you use the Services, but may include recurring messages (for example, multiple updates during an active project).

7.4 Message and Data Rates May Apply

Message and data rates may apply to messages sent to or from your mobile device, as determined by your mobile carrier. We do not charge a separate fee for the Messaging Program, but you are responsible for any carrier charges.

7.5 How to Stop Receiving Messages (Opt-Out)

You can opt out of the Messaging Program at any time:

Reply STOP to any message you receive from us.

We may also support additional opt-out keywords (such as “CANCEL,” “END,” “QUIT,” or “UNSUBSCRIBE”) depending on carrier requirements.

After we receive your opt-out request, we may send one final confirmation message to acknowledge that you have been unsubscribed. After that, you will not receive further messages unless you opt in again.

7.7 Carrier and Delivery Disclaimers

Delivery of messages depends on the effective transmission by your carrier and is outside of our control. Carriers are not liable for any delayed or undelivered messages.

Availability of SMS/MMS/RCS features may vary by carrier and device. Where RCS is not supported, messages may be delivered via SMS or MMS.

7.8 Privacy and Mobile Data Use

Your use of the Messaging Program is also subject to our Privacy Policy.

In particular:

  • We use your mobile number and messaging data only to operate the Messaging Program, provide the Services, and comply with legal and carrier requirements
  • We may share your mobile number and related data with our messaging providers and carriers solely to deliver messages on our behalf
  • We do not sell or rent your mobile number or messaging consent data to third parties for their own marketing purposes

All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

8. Disclaimers

The Site, Services, and Messaging Program are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

9. Limitation of Liability

To the fullest extent permitted by law:

  • We will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits or revenue, arising out of or in connection with your use of (or inability to use) the Site, Services, or Messaging Program
  • Our total liability for any claim relating to the Site, Services, or Messaging Program will not exceed the greater of (a) the amount you paid us for the Services in the three (3) months before the event giving rise to the claim, or (b) USD $100

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless FineFix, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site, Services, or Messaging Program
  • Your violation of these Terms
  • Your violation of any law or the rights of any third party

11. Changes to the Services and These Terms

We may modify or discontinue all or part of the Services at any time. We may also update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, where required, provide additional notice (such as by email or a notice on the Site).

Your continued use of the Services after any changes to the Terms constitutes your acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles.

You agree to submit to the exclusive jurisdiction of the courts located in the State of Delaware, USA for the resolution of any disputes.
